Eligibility Requirements

To receive more corporate information about California Ethical Real Estate Funding, you must meet the following eligibility requirements under DOC regulations. Only submit this interest form if you meet these requirements. Please place a check next to the requirements as acknowledgement that you meet them.

 I am a California Resident.

 I have a minimum net worth of at least $250,000 and earn at least $65,000 annually, or I have a minimum net worth of at least $500,000. (For purposes of determining net worth, exclude your primary residence, home furnishings and automobiles.)

Non-Disclosure Agreement

This Nondisclosure Agreement (”Agreement”) is entered into today by and between the California Ethical Real Estate Funding, LLC, (the “Fund”), a Delaware limited liability company, and the Subject an individual/company residing in the state of California, (the “Subject”). Herein, the Fund and Subject may be collectively referred to as the Parties.

WHEREAS, the Subject plans to review certain confidential documents owned by the Fund;

WHEREAS, in the course of review of these documents the Subject may have access to or have disclosed to it information which is of a confidential nature as that term is later defined in this Agreement;

WHEREAS, the Parties each desire to establish and set forth their individual obligations with respect to the Fund’s Confidential Information, as described herein;

NOW, THEREFORE, in consideration of the foregoing, the mutual promises contained in this Agreement and other good and valuable consideration, the Parties, intending to be legally bound, hereby agree as follows:

1. As used herein, “Confidential Information” shall mean any Offering Circular, Operating Agreement, Subscription Agreement, any Trade Secret, any copyrighted, trademarked, patented, and/or other proprietary information owned by the Fund and disclosed to the Subject; but shall not include information which: (i) was known by a Subject prior to its receipt from the Fund; (ii) is or becomes public knowledge; (iii) is independently developed by the Subject.

2. “Trade Secrets” shall mean any information, design, process, procedure, formula, or improvement that is commercially valuable and secret in the sense that its confidentiality affords the Fund a competitive advantage over its competitors; but shall not include information which: (i) was known by the Subject prior to receipt from the Fund; (ii) is or becomes public knowledge; or (iii) is independently developed by the Subject.

3. The Subject will not:
(a) Copy, reproduce or publish Confidential Information;
(b) Modify, adapt or create derivative works based on Confidential Information;
(c) Disclose for a period not less than one (1) year, any direct or indirect manner to any third party Confidential Information as described herein;
(d) Use Confidential Information for commercial or other purposes, except as necessary for the evaluation or furthering a business relationship with the Party disclosing the Confidential Information or, for purposes to advance the business positioning of the engaging Party.

4. The Subject will take all necessary precaution to protect the Confidential Information.

5. The Subject receiving Confidential Information from the Fund does not own and will not acquire any intellectual property or other proprietary rights in the Confidential Information.

6. The Subject receiving Confidential Information from the Fund agrees that the breach of the provisions of this Agreement will cause the Fund irreparable damage for which recovery of money damages would be inadequate. The Fund will, therefore, be entitled to obtain timely injunctive relief to protect the Fund’s rights under this Agreement in addition to any and all monetary and other remedies available at law.

7. The Agreement shall be governed by and construed in accordance with the laws of the state of California, the United States of America.
